Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and SALINT Technologies LLC (“SALINT,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the SALINT platform, website at salint.ai, and all related services (collectively, the “Service”).

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

“Authorized Users” means your employees, representatives, consultants, or contractors who are authorized to use the Service under your account and who have been supplied user credentials by you or on your behalf.

“Business Contact Information” means publicly available information about individuals in a professional or business context, including name, job title, employer, professional history, corporate affiliations, and similar information compiled and presented through the Service.

“Credits” means consumable units that entitle the Customer to generate reports through the Service, subject to the credit allocation and purchasing terms described below.

“Customer Data” means all data, files, and content that you provide to SALINT in connection with your use of the Service. Customer Data does not include Business Contact Information sourced by SALINT from public sources.

“Permitted Purpose” means the business-to-business uses expressly authorized under Section 6 of these Terms.

“Report” means an intelligence report generated by the Service about a person or company, compiled from publicly available sources.

“Sensitive Information” means credit or debit card numbers, Social Security numbers, passport numbers, driver’s license numbers, personal financial account information, medical or health information, and similar categories of protected data.

“Team” means a group of Authorized Users who share a credit pool and administrative controls under a team subscription plan.

3. The Service

3a. Description

SALINT provides an AI-powered corporate intelligence platform that generates research reports on individuals and companies by aggregating and analyzing publicly available information. Reports are designed for use in business-to-business sales preparation, business development, competitive analysis, partnership evaluation, and professional networking.

Reports may include information compiled from publicly available sources including court records, regulatory filings, corporate registries, professional directories, news publications, social media platforms, and other public data. This information is assembled for business intelligence and commercial engagement purposes. Reports do not constitute criminal background checks, employment verification, tenant screening reports, credit reports, or any other product regulated under the Fair Credit Reporting Act. SALINT is not a source of FCRA-regulated screening data, and the information in Reports should not be used as a substitute for formal background screening where such screening is required by law.

3b. Service Availability and Modifications

We will make commercially reasonable efforts to keep the Service available. The Service is provided on an “as available” basis, and we reserve the right to modify, suspend, or discontinue any feature of the Service at any time without prior notice. Scheduled maintenance windows will be communicated when feasible, but we are not obligated to provide advance notice for emergency maintenance, security patches, or updates required to maintain platform stability.

3c. Data Sources and Accuracy

Reports are compiled from publicly available sources. SALINT does not guarantee the accuracy, completeness, or timeliness of any information in a report. Information may be outdated, incomplete, or contain errors originating from the underlying sources. You should independently verify any information before relying on it for business decisions. SALINT does not access non-public databases, sealed records, or private communications.

3d. Geographic Restrictions

The Service is not currently available to residents of the State of California. You represent that you are not a resident of California and that you will not access the Service from California. You may not use the Service to generate reports on individuals whose primary residence is in California. SALINT reserves the right to implement technical measures to enforce these restrictions, including IP-based geo-blocking. Circumventing geographic restrictions, including through the use of VPNs or proxy services, constitutes a material breach of these Terms. SALINT reserves the right to modify these geographic restrictions at any time.

4. Accounts, Registration, and Access

4a. Account Creation

Access to the Service requires registration and an active subscription or credit purchase. You must provide accurate and complete registration information, including your legal name, business name, business address, and intended use of the Service. You agree to update this information to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4b. Use Certification

During registration and periodically thereafter, you will be required to certify your intended use of the Service and to acknowledge the FCRA Compliance Notice. SALINT may, in its sole discretion, decline to approve any account or revoke access to any existing account if the stated use case, query patterns, or other indicators suggest the Service may be used for any purpose prohibited under Section 7 or Section 8 of these Terms.

4c. Account Security

You agree to notify SALINT immediately of any unauthorized use of your account or any other breach of security. SALINT will not be liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account credentials with any other person, assign or transfer your account to any third party, or allow anyone other than Authorized Users to access the Service through your account.

4d. Team Accounts

Team accounts are governed by the team leader who created or manages the team. Team leaders are responsible for adding and removing team members, managing the shared credit pool, and ensuring that all team members comply with these Terms. If a team member is removed, their reports remain in the system but are no longer accessible to that member through the team portal.

5. Credits, Fees, and Payment

5a. Credit Allocation

The Service operates on a credit-based system. Each report generated consumes one credit. Subscription plans include a set allocation of credits for each billing period, based on the plan tier and the number of seats on the account. Additional credits may be purchased separately in credit packs at prices posted on the platform.

5b. Credit Expiration and Refunds

Credits included with a subscription expire at the end of each billing period and do not roll over. Credits purchased in credit packs do not expire. All credit purchases are final and non-refundable, except as required by applicable law or at SALINT’s sole discretion. Subscription plans with a multi-year term are billed in advance and are non-refundable, including where the included credits are not used.

5c. Future Pricing

SALINT reserves the right to introduce new subscription tiers, modify credit pricing, or change the credit allocation structure at any time. We will provide at least 30 days’ written notice before any pricing changes take effect for existing customers.

5d. Payment Processing

Payments are processed through our third-party payment processor. By providing payment information, you authorize SALINT and its payment processor to charge your designated payment method for any credit purchases or subscription fees. You are responsible for all applicable taxes.

6. Permitted Uses and License Grant

Subject to your compliance with these Terms, SALINT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the following business-to-business purposes (each a “Permitted Purpose”):

(a) Sales preparation and prospect research in connection with business-to-business sales opportunities;

(b) Business development, partnership evaluation, and vendor assessment;

(c) Competitive intelligence and market analysis;

(d) Professional networking and relationship mapping in a business context;

(e) Due diligence in commercial transactions between business entities.

This license is strictly limited to the Permitted Purposes listed above. Any use of the Service or Report data outside of these enumerated Permitted Purposes is a material breach of these Terms and may result in immediate suspension or termination of your account. The Permitted Purposes do not include, and this license does not extend to, any use that would constitute a purpose regulated by the Fair Credit Reporting Act, 15 U.S.C. §1681 et seq., or any similar state statute.

7. Prohibited Uses

You agree that you will not use the Service or any information obtained through the Service for any of the following purposes:

7a. FCRA-Prohibited Purposes

You may not use the Service to determine any person’s eligibility for credit, loans, or insurance for personal, family, or household purposes; employment, promotion, reassignment, retention, or discipline (including volunteers, contractors, and household workers); educational opportunities, scholarships, or fellowships; housing or other accommodations, including tenant screening; any license or benefit granted by a government agency; child support enforcement; or any other purpose that would require compliance with the FCRA or similar state statutes. You may not use the Service to evaluate any person’s suitability for any position of employment, whether or not a formal employment relationship exists.

7b. Harmful or Unlawful Purposes

You may not use the Service to stalk, harass, threaten, defame, intimidate, or cause harm to any person or entity; to seek information about, locate, or target individuals under the age of 18; to engage in or facilitate fraud, identity theft, or any other illegal activity; to promote violence, discrimination, or physical harm against any individual or group; or to compile information for use in connection with credit repair, credit counseling, or commercial credit origination.

7c. Technical Restrictions

You may not reverse engineer, decompile, or disassemble any aspect of the Service; attempt to circumvent usage limits, security controls, access restrictions, or geographic restrictions (including through VPNs or proxy services); use automated tools, scrapers, or bots to access the Service (except through authorized API access); redistribute, resell, or sublicense the Service or any report content without written authorization; or access the Service from jurisdictions where such access is prohibited by law or by these Terms.

7d. Data Handling Restrictions

You may not use the Service to collect or compile Sensitive Information; share report contents in any manner that misrepresents the information as your own original research; use report contents to create a competing database, product, or service; or combine report data with data from consumer reporting agencies or other FCRA-regulated sources.

8. Fair Credit Reporting Act Notice

SALINT IS NOT A CONSUMER REPORTING AGENCY (“CRA”) AS DEFINED BY THE FAIR CREDIT REPORTING ACT (“FCRA”), 15 U.S.C. §1681 ET SEQ. THE REPORTS AND INFORMATION PROVIDED THROUGH THE SERVICE DO NOT CONSTITUTE “CONSUMER REPORTS” AS THAT TERM IS DEFINED UNDER THE FCRA. THE ADDITIONAL PROTECTIONS AFFORDED TO CONSUMERS UNDER THE FCRA, AND THE OBLIGATIONS PLACED UPON CONSUMER REPORTING AGENCIES, ARE NOT CONTEMPLATED BY, NOR CONTAINED WITHIN, THESE TERMS.

REPORTS MAY INCLUDE INFORMATION FROM PUBLICLY AVAILABLE SOURCES INCLUDING COURT RECORDS, REGULATORY FILINGS, CORPORATE REGISTRIES, PROFESSIONAL DIRECTORIES, NEWS PUBLICATIONS, SOCIAL MEDIA PLATFORMS, AND OTHER PUBLIC DATA. THIS INFORMATION IS ASSEMBLED FOR BUSINESS INTELLIGENCE AND COMMERCIAL ENGAGEMENT PURPOSES. REPORTS DO NOT CONSTITUTE CRIMINAL BACKGROUND CHECKS, EMPLOYMENT VERIFICATION, TENANT SCREENING REPORTS, CREDIT REPORTS, OR ANY OTHER FCRA-REGULATED PRODUCT. SALINT IS NOT A SOURCE OF FCRA-REGULATED SCREENING DATA, AND THE INFORMATION IN REPORTS SHOULD NOT BE USED AS A SUBSTITUTE FOR FORMAL BACKGROUND SCREENING WHERE SUCH SCREENING IS REQUIRED BY LAW.

You acknowledge and agree that you will not use any information obtained through the Service as a factor in establishing an individual’s eligibility for personal credit, loans, insurance, or assessing risks associated with existing consumer credit obligations; evaluating an individual for employment, promotion, reassignment, retention, or discipline; evaluating an individual for educational opportunities, scholarships, or fellowships; evaluating an individual’s eligibility for a license or other benefit granted by a government agency; making decisions about renting or selling residential or commercial property, including tenant screening; child support enforcement; or any other product, service, or transaction in connection with which a consumer report may be used under the FCRA or any similar state statute.

You agree that you will not use any information obtained through the Service to take any “adverse action” as that term is defined under the FCRA. You represent that you have appropriate knowledge of the FCRA and, if necessary, will consult with an attorney to ensure compliance with these Terms and applicable law.

Customer Representation and Warranty. You represent and warrant that: (a) you are not a consumer reporting agency as defined by the FCRA; (b) you will not use the Service, or any data obtained through the Service, as an input to any product or service that constitutes a “consumer report” under the FCRA; (c) you will not use the Service in any manner that would cause SALINT, SALINT Technologies LLC, or any of its affiliates to be deemed a consumer reporting agency under the FCRA or any similar state law; and (d) you will immediately notify SALINT if you become aware that any person has used or intends to use any Report or Report data for a purpose prohibited by this Section 8.

9. Intellectual Property

9a. SALINT’s Rights

The Service, including all software, algorithms, designs, text, graphics, interfaces, and other content (excluding Customer Data), is the property of SALINT or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. You receive only the limited license described in Section 6.

9b. Report Ownership

Reports generated through the Service are licensed to you for your internal business use in connection with the Permitted Purposes. You may share individual reports with colleagues within your organization and with third parties through the platform’s built-in sharing features. You may not redistribute reports in bulk, use them to build a competing product or database, or resell report content.

9c. Customer Data

You retain all rights in your Customer Data. By using the Service, you grant SALINT a limited license to use your Customer Data solely as necessary to provide, maintain, and improve the Service.

9d. Feedback

If you provide SALINT with suggestions, feedback, or ideas about the Service, you grant SALINT a non-exclusive, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation to you.

10. Report Sharing

The Service includes features that allow you to share reports with third parties via time-limited, expiring links. Shared reports display SALINT branding and the Report Footer Disclaimer. You are responsible for ensuring that any report you share is used in compliance with these Terms, including the restrictions in Sections 7 and 8. You agree not to share reports for any prohibited purpose.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have reviewed and agree to the Privacy Policy. We will process your personal information in accordance with the Privacy Policy and applicable data protection laws.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. SALINT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR CURRENT.

SALINT DOES NOT REPRESENT OR WARRANT THAT THE SERVICE MAY BE USED OR RELIED UPON TO COMPLY WITH ANY LAW, RULE, REGULATION, OR INDUSTRY STANDARD. IF YOU USE THE SERVICE WITH THE INTENTION OF COMPLYING WITH ANY LEGAL OR REGULATORY REQUIREMENT, YOU ASSUME FULL RESPONSIBILITY FOR YOUR COMPLIANCE.

SALINT EXPRESSLY DISCLAIMS ALL LIABILITY WITH RESPECT TO ACTIONS TAKEN OR NOT TAKEN BASED ON INFORMATION OBTAINED THROUGH THE SERVICE. BEFORE RELYING ON ANY INFORMATION IN A REPORT, IT SHOULD BE INDEPENDENTLY VERIFIED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SALINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SALINT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SALINT’S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNTS PAID BY YOU TO SALINT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION, INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, AND STATUTORY CLAIMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, SALINT’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless SALINT and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms, including any use of the Service for a purpose prohibited under Section 7 or Section 8; (c) your violation of any applicable law, including the FCRA; (d) your violation of any third-party rights; or (e) any claim that your use of Report data caused SALINT to be classified as a consumer reporting agency under the FCRA or any similar state law.

15. Term and Termination

15a. Term

These Terms take effect when you first access or use the Service and remain in effect until terminated by either party.

15b. Termination by You

You may terminate your account at any time by contacting us at support@salint.ai. Termination does not entitle you to a refund of any purchased credits or of any prepaid subscription term. Cancelling a subscription stops future renewals; access and any credits already included for periods you have paid for remain available through the end of the paid term.

15c. Termination and Suspension by SALINT

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. We will make reasonable efforts to provide notice before termination, except where immediate action is necessary to protect the security or integrity of the Service, to comply with legal obligations, or to prevent a violation of Sections 7 or 8 of these Terms.

Immediate Suspension for FCRA Compliance. SALINT may immediately suspend or terminate your access without prior notice if SALINT has a reasonable belief that you are using, or intend to use, the Service for any purpose prohibited under Section 7 or Section 8 of these Terms, or if query patterns, account activity, or other indicators suggest potential FCRA-regulated use. SALINT will investigate suspected violations and, if confirmed, will permanently terminate the account and retain records of the investigation and termination.

15d. Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete your account data after a reasonable retention period. Sections of these Terms that by their nature should survive termination will survive, including provisions related to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and the FCRA representations and warranties in Section 8.

16. Dispute Resolution

16a. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.

16b. Informal Resolution

Before filing any formal dispute, you agree to attempt to resolve the matter informally by contacting us at legal@salint.ai. We will work in good faith to resolve the issue within 30 days.

16c. Jurisdiction

For any disputes not resolved informally, both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Multnomah County, Oregon.

16d. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SALINT EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. Modifications to Terms

We may update these Terms from time to time. When we make changes, the revised Terms will be posted on our website with an updated “Last Updated” date. Material changes will be communicated via email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

18. General Provisions

18a. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

18b. Waiver

The failure of SALINT to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18c. Assignment

You may not assign or transfer these Terms or your rights under them without SALINT’s prior written consent. SALINT may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

18d. Entire Agreement

These Terms, together with the Privacy Policy, FCRA Compliance Notice, and any applicable order forms, constitute the entire agreement between you and SALINT with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings.

18e. Electronic Signature

You acknowledge and agree that by accepting these Terms electronically, you are submitting a legally binding electronic signature. Your electronic acceptance constitutes your agreement and intent to be bound by these Terms.
